01Accepting these terms

These Terms of Service (the “Terms”) are a legal agreement between you and Omni. By creating an account or using Omni (the “Services”), you agree to these Terms and to our Privacy Policy.

If you are using Omni on behalf of an organization, you represent that you are authorized to accept these Terms for it.

02Who can use Omni

You must be at least 13 years old, or the minimum age of digital consent in your country, to use Omni. If you are under 18, you may use Omni only with the involvement of a parent or guardian.

You are responsible for keeping your account credentials secure and for all activity under your account.

03What Omni does

Omni is a personal AI assistant that helps you chat, work with text and files, and — when you choose to connect them — act across your other apps and accounts.

AI output can be inaccurate or incomplete. You are responsible for reviewing Omni's output before relying on it, especially for important decisions. Omni is not a substitute for professional, legal, medical, or financial advice.

04Connected accounts, connectors & MCP

Omni can connect to third-party services through official integrations, connectors, and the Model Context Protocol (MCP). These connections are optional and controlled by you.

• You authorize each connection through the provider's own secure permission flow.
• You grant Omni permission to access and act on the connected data only to perform tasks you request.
• Your use of each third-party service remains subject to that provider's own terms and policies.
• You can disconnect any integration at any time from within Omni or the provider's settings.

You are responsible for ensuring you have the right to connect any account and to let Omni access the data within it.

05Acceptable use

You agree not to use Omni to:

• Break the law or infringe others' rights
• Access accounts or data you are not authorized to use
• Send spam, malware, or engage in phishing or fraud
• Harass, threaten, or harm others
• Generate illegal, hateful, or sexually exploitative content
• Reverse engineer, disrupt, or overload the Services
• Violate the terms of any connected third-party platform

We may suspend or terminate accounts that violate these Terms or that put the Services or others at risk.

06Your content and ownership

You keep all rights to the content you provide to Omni. We do not claim ownership of your messages, files, or connected-account data.

You grant us a limited license to process your content solely to operate and provide the Services to you — for example, to send it to an AI model so Omni can respond. As between you and Omni, the output generated for you is yours to use, subject to these Terms and applicable law.

07Plans and payment

Omni may offer free and paid plans. Paid plans are billed in advance on a recurring basis unless stated otherwise, and renew automatically until you cancel.

You can cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.

08Our intellectual property

Omni, including its software, models, branding, and design, is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms.

09Third-party services

Omni relies on and connects to third-party services and AI providers. We are not responsible for those services, and your use of them is governed by their own terms. If a third-party service changes or discontinues access, related Omni features may change too.

10Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate.

11Limitation of liability

To the fullest extent permitted by law, Omni will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 12 months before the claim, or USD 100 if you use a free plan.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12Indemnification

You agree to indemnify and hold Omni harmless from claims arising out of your misuse of the Services, your content, or your violation of these Terms or the rights of others, to the extent permitted by law.

13Termination

You may stop using Omni and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if required for legal or security reasons.

On termination, your right to use the Services ends. You can request deletion of your data as described in our Privacy Policy.

14Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law grants you the right to bring a claim elsewhere.

Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of your country of residence.

15Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you through Omni or by email before they take effect. Continued use of the Services after changes take effect means you accept the updated Terms.
